MiFID | MiFID and Investment ServicesWhat is MiFID? "Markets in Financial Instruments Directive" (MiFID). It is a directive of the European Parliament and of the Council 2004/39/EC of 21 April 2004 on markets in financial instruments amending Council Directives 85/611/EEC and 93/6/EEC and Directive 2000/12/EC of the European Parliament and of the Council and repealing Council Directive 93/22/EEC. MiFID was implemented into the legislation of the Slovak Republic by Act No 209/2007 amending Act No 566/2001 Coll. on securities and investment services and amending some acts (hereinafter “Act on Securities “), and Act No 429/2002 Coll. on securities exchange. The Act on Securities comes into effect in the area of implementing MiFID on 1 November 2007. With respect to clients, the implementation of MiFID governs the following:
Definitions of main terms: Issuer means a legal or natural person that has issued, issues or decided to issue securities under this Act or under other special regulations. ISIN means International Securities Identification Number used to uniquely identify securities. Face value of a security means a nominal amount assigned to the security by the issuer. Rate of issue of a security means the price for which the issuer sells the security upon its issuing. Rate of a security means the price of a security defined and published by a security exchange by a procedure in line with the security exchange rules. Anonymous trade means a trade made at the security exchange based on receiving bids determined for an in-advance unspecified circle of legal or natural persons.
